Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and VibeCheck Innovations LLP ("VibeCheck", "we", "us", "our"), a limited liability partnership registered in India under the Limited Liability Partnership Act, 2008.
They govern your use of the VibeCheck website at passvibecheck.com, our mobile applications, and all related services (together, the "Platform").
By creating an account or using the Platform, you accept these Terms. If you do not accept them, do not use the Platform.
These Terms should be read with our [Privacy Policy], [Refund and Cancellation Policy] and [Cookie Policy], each of which forms part of this agreement.
This document is published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
1. Definitions

| Booking | A ticket, reservation, RSVP or registration made through the Platform |
| Content | Anything you post, upload or submit — photos, videos, reviews, comments, messages and listing information |
2. Eligibility
You must be at least 18 years old to use the Platform. By using it you confirm that you are 18 or older and legally capable of entering into a binding contract under the Indian Contract Act, 1872.
If you use the Platform on behalf of an organisation — a company, venue, college or housing society — you confirm you are authorised to bind that organisation, and "you" means both you and that organisation.
We may refuse, suspend or terminate access to anyone who does not meet these requirements.
3. Your account
- Accounts are created through Google Sign-In, which is currently the only sign-in method.
- You are responsible for everything done through your account. Keep your Google account secure.
- Provide accurate information and keep it current.
- One person, one account, unless we agree otherwise in writing.
- Do not share, sell or transfer your account.
Tell us immediately at nidhi@passvibecheck.com if you believe your account has been accessed without your permission.
4. What VibeCheck is — and what it is not
VibeCheck is a discovery and booking platform. We help people find events, places and experiences, and we handle the booking and payment process for them.
We do not organise, run, host, own or control the experiences listed on the Platform. Those are provided by independent Organizers, Venues and Communities. Specifically:
- The Organizer or Venue — not VibeCheck — is responsible for the experience actually taking place, for its quality, safety, accuracy of description, licensing, permits, and compliance with law.
- Any contract for the experience itself is between you and that Organizer or Venue.
- We do not verify, endorse or guarantee any Listing, Organizer or Venue, beyond the moderation described in Section 10.
- Entry conditions — including age restrictions, dress codes, identification requirements, and rules on alcohol and other regulated goods — are set by the Organizer, the Venue and applicable law. Meeting the Platform's 18+ requirement does not entitle you to enter any particular venue or event.
We act as an intermediary under the Information Technology Act, 2000 in respect of Content posted by users.
Where we collect payment, we do so as described in Section 8. Collecting payment does not make us the provider of the experience.
5. Your content
You keep ownership of your Content.
By posting Content you grant VibeCheck a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt for display, publish and distribute that Content for the purpose of operating, promoting and improving the Platform. This licence ends when you delete the Content or your account, except where:
- the Content has been shared with others who still hold it;
- we must retain it to comply with law or resolve a dispute; or
- residual copies remain in backups for a limited period.
You confirm that you own or have the rights to the Content you post, and that it does not infringe anyone else's rights.
We may remove Content that breaches these Terms, and we may refuse to publish Content at our discretion.
6. Acceptable use
You must not use the Platform to do any of the following, and must not post Content that:
Harms other people
- Harasses, bullies, threatens, stalks or intimidates anyone
- Promotes hatred or discrimination on the basis of religion, caste, race, sex, gender, sexual orientation, place of birth, disability or any similar ground
- Is obscene, sexually explicit, paedophilic, or invasive of another person's privacy, including their bodily privacy
Is dishonest
- Impersonates any person, or misrepresents your affiliation with a person or organisation
- Is knowingly false or misleading, including fake events, fake reviews, or manufactured attendance
- Is intended to defraud, phish for credentials, or obtain money by deception
Breaks the law
- Infringes any patent, trademark, copyright or other proprietary right
- Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states, or public order
- Relates to or encourages money laundering, gambling, or any unlawful activity
- Involves the sale or promotion of anything you are not lawfully permitted to sell
Abuses the Platform
- Spams, scrapes, or uses bots or automated means without our written permission
- Attempts to access accounts, data or systems you are not authorised to access, or to probe, scan or test the security of the Platform
- Interferes with the Platform's operation, or introduces malware
- Circumvents fees, payment flows, ticket limits, or moderation
- Resells tickets or reservations obtained through the Platform, except where the Organizer expressly permits it
Facilitates off-platform circumvention
- Uses the Platform to solicit a Booking, and then takes the payment for that Booking outside the Platform to avoid our fees
We may investigate suspected breaches and take the action described in Section 12.
7. Communities: housing societies and colleges
Some events are published to a restricted audience — the residents of a housing society, or the members of a college.
- Community administrators control membership and approval for their community.
- A restricted event is visible only to that community's approved members, and to VibeCheck for operational and moderation purposes.
- Community administrators may see your membership status and your participation in that community's events.
- Community administrators are responsible for events they run, on the same basis as any other Organizer.
Being removed from a community removes your access to its restricted events.
8. Payments, fees and settlement
8.1 How money flows
We collect payment for Bookings. Payments are processed through our payment gateway, Razorpay. When you pay for a Booking:
- You pay VibeCheck through the gateway.
- We record the payment against your Booking and confirm it to you and the Seller.
- We deduct our commission and any applicable fees and taxes.
- We hold the balance and release it to the Seller on the schedule in Section 8.3.
Card, UPI, net-banking and other payment credentials are collected and handled by the gateway. We never receive or store them.
8.2 Fees

All fees applicable to a Booking are shown before you pay. We may change our fees prospectively on notice; changes do not affect Bookings already made.
8.3 Settlement to Sellers
Funds due to a Seller are held and released after the relevant experience has taken place, plus a buffer period. The exact timing depends on the Seller's standing on the Platform, and a portion may be released in advance of the experience where the Seller's standing permits it.
We maintain an internal ledger of every payment, commission and release. Sellers can see their own settlement records.
We may withhold, delay or reverse a settlement where:
- the experience did not take place, or was materially different from its Listing;
- a refund, chargeback or payment dispute is pending or has succeeded;
- we reasonably suspect fraud, abuse or a breach of these Terms; or
- we are required to do so by law.
Where funds are withheld, we will tell the Seller why and what is needed to resolve it.
8.4 Seller obligations
If you receive money through the Platform, you additionally agree that:
- you are responsible for your own tax obligations, including GST registration and reporting where applicable;
- you hold all licences, permits and approvals required to run your experience;
- the information in your Listing is accurate and current;
- you will honour Bookings made through the Platform; and
- you will provide the payout and identity details we reasonably require, and keep them accurate.
8.5 Standing and payout risk
We maintain an internal assessment of each Seller used to set settlement timing and manage payout risk. It is based on factors such as completed events, cancellations, refunds, disputes and complaints. It is an operational risk measure, not a public rating, and it does not determine whether your Listings appear.
9. Cancellations and refunds
Cancellation and refund terms are set out in our [Refund and Cancellation Policy], which forms part of these Terms, and are shown to you before you pay.
In summary:
- Organizer cancellation. If an Organizer or Venue cancels, or the experience does not take place, you are entitled to a refund as set out in that Policy.
- Attendee cancellation. Whether you can cancel, and on what terms, depends on the Listing and is shown before you pay.
- Disputes about the experience itself are between you and the Organizer or Venue. We will assist, and where we hold funds we may apply them to resolve the dispute.
10. Moderation, reporting and takedown
New Listings may be subject to review before they appear publicly. We may decline, edit for clarity, or remove a Listing.
You can report Content, Listings, users, Organizers or Venues through the Platform. We review reports and may remove Content, restrict features, or suspend accounts.
We will remove or disable access to unlawful Content on receiving actual knowledge of it through a court order or notification by an appropriate government agency, within the timelines required by law.
Grievances — including complaints about Content, moderation decisions, or your data — go to our Grievance Officer (Section 17). We acknowledge within 24 hours and resolve within 15 days.
11. Reviews and ratings
Reviews must reflect a genuine experience. You must not post a review in exchange for payment or benefit, review your own Listing, or post reviews to manipulate ratings.
We may remove reviews that breach these Terms. We do not remove a review merely because it is negative.
12. Suspension and termination
By you. You may stop using the Platform at any time and delete your account from Settings → Privacy & Security. Deletion follows the process in our [Privacy Policy].
By us. We may suspend or terminate your access, remove your Content, or restrict features if:
- you breach these Terms or any policy forming part of them;
- we reasonably suspect fraud, abuse, or activity that risks harm to other users;
- we are required to by law; or
- you have not used your account for an extended period.
Where practicable we will give notice and an opportunity to respond. For serious breaches — fraud, safety risk, or unlawful content — we may act immediately.
Effect. Termination does not affect Bookings already made, refunds owed, settlements due, or any accrued rights and obligations. Sections 5 (as to licences granted), 13, 14, 15, 18 and 19 survive termination.
13. Disclaimers
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
We do not warrant that:
- the Platform will be uninterrupted, timely, secure or error-free;
- any Listing, Organizer, Venue or Content is accurate, lawful, safe or of any particular quality;
- any experience will take place, or will meet your expectations.
You attend experiences at your own risk. Nothing in this section limits liability that cannot be excluded under Indian law.
14. Limitation of liability
To the fullest extent permitted by law:
- We are not liable for the acts or omissions of Organizers, Venues, Communities or other users, including cancellations, changes, non-performance, injury, loss or damage arising at an experience.
- We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or opportunity.
- Our total aggregate liability to you for all claims arising out of or relating to the Platform is limited to the total amount you paid to us through the Platform in the twelve (12) months before the event giving rise to the claim.
This section does not exclude liability for fraud, wilful misconduct, death or personal injury caused by our negligence, or any liability that cannot lawfully be excluded.
15. Indemnity
You agree to indemnify and hold harmless VibeCheck, its partners, employees and agents from any claim, demand, loss, liability or expense (including reasonable legal fees) arising out of:
- your use of the Platform;
- your Content;
- your breach of these Terms or of any law; or
- for Sellers, any experience you list or run through the Platform.
16. Intellectual property
The Platform — including its name, logo, design, software, text and graphics, but excluding user Content — belongs to VibeCheck and is protected by intellectual property law.
We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform in accordance with these Terms. You may not copy, modify, reverse-engineer, resell or create derivative works from it without our written permission.
"VibeCheck" and our logo are our marks. Do not use them without written permission.

Appointed under Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. We acknowledge complaints within 24 hours and dispose of them within 15 days of receipt.
18. Governing law and disputes
These Terms are governed by the laws of India.
The courts at Pune, Maharashtra have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Platform.
Before starting proceedings, please contact our Grievance Officer — most issues are resolved faster that way.
19. General
- Changes. We may amend these Terms. Material changes will be notified through the Platform and take effect on the date stated. Continuing to use the Platform after that date means you accept the amended Terms.
- Severability. If any provision is held unenforceable, the rest remains in force.
- No waiver. Not enforcing a provision is not a waiver of it.
- Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition or sale of assets.
- Entire agreement. These Terms, together with the policies referred to in them, are the entire agreement between you and us about the Platform.
- Language. These Terms are published in English. If we publish a translation and the versions conflict, the English version governs.
